Terms of Service

1. Agreement and eligibility

These Terms of Service ("Terms") are an agreement between you and Active Neurons Technology LLP ("we", "us" or "our") for use of BizCardPro. By creating an account, accepting a quote or order, or using the service, you agree to these Terms and our Privacy Policy.

You must have legal capacity to enter this agreement. If you use the service for an organisation, you confirm that you are authorised to bind that organisation. If you do not agree, do not create an account or use the service.

2. Accounts and organisations

You must provide accurate, current information and keep it updated. You are responsible for protecting account credentials, limiting access to authorised people and actions taken through your account. Tell us promptly about suspected unauthorised access.

An organisation owner or administrator may invite users, assign roles, manage business units and cards, and control organisation content. The organisation is responsible for those permissions and for ensuring its users follow these Terms.

3. The BizCardPro service

BizCardPro provides tools to create, manage and share digital business profiles, publish business content, connect QR codes or compatible NFC products, review engagement information, manage enquiries and, where offered, order physical products. Features vary by plan, configuration and availability.

A public card can be viewed by anyone who has its URL, QR code or programmed NFC card. You are responsible for deciding what information is appropriate to publish. Disabling or changing a digital card affects the online destination but cannot recall information already copied, downloaded or shared by another person.

4. Your content and data

You retain ownership of logos, images, text, links and other content you submit. You give us a non-exclusive, worldwide licence to host, reproduce, adapt for technical presentation, transmit and display that content only as needed to provide, secure and improve the service.

You confirm that you have the rights and permissions needed for the content and personal data you upload, and that it is accurate and lawful. You are responsible for maintaining your own copy of important content and records. Our handling of personal data is described in the Privacy Policy.

5. Acceptable use

You must not use the service to:

• break the law, infringe intellectual-property or privacy rights, or misrepresent identity or authority;
• publish unlawful, deceptive, defamatory, abusive, discriminatory, sexually exploitative or malicious content;
• send spam, unsolicited communications, malware or harmful code;
• probe, bypass or interfere with security, access controls, rate limits or another tenant's data;
• scrape, copy, resell or reverse engineer the service except where law expressly allows it; or
• use a card, link, QR code or NFC product for fraud, phishing or an unsafe destination.

We may investigate reported misuse and remove content or restrict access where reasonably necessary to protect users, the service or third parties.

6. Visitors, links and leads

Card owners are responsible for the accuracy of their public content, the destinations they link to, and how they contact or otherwise use information submitted by a visitor. If you collect enquiries, you must provide any notice and obtain any consent required by law, honour withdrawals and data-rights requests, and use the information only for a disclosed lawful purpose.

Third-party websites, social networks, booking services and messaging services are governed by their own terms and privacy practices. We do not control and are not responsible for their content, availability or conduct.

7. NFC and physical cards

NFC functionality depends on the tag, device, operating system, browser, device settings and how the tag is programmed. We do not promise compatibility with every device or environment. QR codes and direct links may remain available as alternatives.

Treat a programmed NFC card like any item that shares your public link. If it is lost, stolen, damaged or incorrectly programmed, notify your organisation administrator or support contact and disable or reassign the associated card where that feature is available. Replacement eligibility and charges depend on the relevant order terms and the reason for replacement.

8. Plans, orders, payment and renewal

Digital card plans

BizCardPro card plans and renewals are currently arranged offline. A quote, proposal, invoice or order confirmation accepted by you sets the applicable plan, duration, price, taxes and commercial terms. Dashboard and email renewal reminders are informational. They do not create an automatic charge, automatic renewal or online recurring-payment authority.

Physical products

When physical products are offered for online ordering, the order summary or confirmation states the products, price, applicable taxes, shipping charges and available payment method. A third-party payment gateway such as Razorpay may process payment credentials under its own terms. An order is subject to availability, payment confirmation and acceptance by us.

Dispatch and delivery dates are estimates unless expressly confirmed otherwise. Please inspect a delivery and contact support promptly about a damaged, defective or incorrect item. Cancellation, return, replacement and refund eligibility follows applicable law and any additional terms stated in the accepted order or quote. Do not return an item before receiving return instructions.

9. Availability, maintenance and changes

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, security events, provider outages, internet conditions and circumstances outside our control may affect availability. We may add, change or retire features, and will give reasonable notice where a material change adversely affects an active paid service and notice is practicable.

10. Suspension and termination

You may stop using the service and may request account closure through support, subject to outstanding orders, payment obligations and records we must retain. We may suspend or terminate access for material breach, unlawful or harmful use, a security risk, non-payment of an agreed amount, or where required by law. Where appropriate, we will provide notice and an opportunity to remedy the issue.

On termination, your right to use the service ends. Public cards may stop resolving and access to account content may be removed. Provisions that by their nature should continue—including payment obligations, ownership, disclaimers, liability limits and dispute terms—survive termination.

11. Our intellectual property

The BizCardPro software, interface, design system, documentation, trademarks and service content—excluding your content and third-party material—belong to us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service during the applicable service period. No other rights are granted.

12. Disclaimers, responsibility and liability

To the extent permitted by law, the service is provided on an "as available" basis without warranties that are not expressly stated in an accepted order. We do not endorse or verify user content, visitor enquiries or third-party links, and we are not responsible for business outcomes from sharing or using a digital card.

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential loss, or loss of profits, goodwill or data, arising from the service. Our aggregate liability relating to a paid service will not exceed the amount paid to us for that service during the 12 months before the event giving rise to the claim. This limit does not apply where liability cannot lawfully be limited.

You are responsible for claims and losses caused by your unlawful content, misuse of the service, or breach of another person's rights and, to the extent permitted by law, agree to reimburse us for resulting third-party claims and reasonable costs. Nothing in these Terms excludes statutory consumer rights or remedies that cannot be waived.

13. Governing law and disputes

These Terms are governed by the laws of India. Before starting formal proceedings, please contact us and allow a reasonable opportunity to resolve the issue in good faith. A dispute may be brought before a court or consumer forum having jurisdiction under applicable law. Nothing here limits a right to approach a regulator or forum where applicable law allows it.

14. Changes to these Terms

We may update these Terms to reflect service, commercial or legal changes. We will publish the revised Terms here and update the date above. Where appropriate, we will endeavour to provide additional notice of a material change. Continued use after the change takes effect means you accept the updated Terms, unless applicable law requires a different form of agreement.
